Platform Service Agreement

COMPOUND CART INC. — PLATFORM SERVICE AGREEMENT Last updated: 2026 This Platform Service Agreement ('Agreement') is between Compound Cart Inc. ('Company') and the registered store operator ('Operator') who has completed onboarding and accepted these terms. 1. SERVICES PROVIDED Compound Cart Inc. provides managed WooCommerce store hosting, label generation, inventory management, compliance tooling, email infrastructure, and related SaaS services for research peptide vendors. All services are provided on a subscription basis and subject to payment of applicable fees. 2. MONTHLY SUBSCRIPTION FEES Monthly platform fees are invoiced on the 1st of each month and are due within 14 days of issuance. Accepted payment methods include wire transfer, ACH, and crypto as configured. Late payments may result in store suspension after the grace period defined in your billing terms. 3. OPERATOR RESPONSIBILITIES Operator agrees to: (a) maintain accurate business and billing information; (b) comply with all applicable laws governing the sale and distribution of research compounds; (c) ensure all storefront compliance copy is accurate and up-to-date; (d) promptly pay all invoices. 4. PLATFORM AVAILABILITY PeptiCommerce targets 99.5% monthly uptime for hosted stores. Scheduled maintenance will be communicated in advance where possible. Downtime caused by third-party providers (DigitalOcean, Cloudflare, etc.) is outside our direct control. 5. DATA OWNERSHIP Store data, customer records, and product content belong to the Operator. Compound Cart Inc. maintains infrastructure-level access for support, maintenance, and security purposes only. 6. TERMINATION Either party may terminate this Agreement with 30 days written notice. Compound Cart Inc. may terminate immediately for: non-payment beyond the grace period, violation of the Platform TOS, or use of the platform for illegal purposes. Upon termination, Operator data will be retained for 30 days to allow export, then deleted. 7. LIMITATION OF LIABILITY Compound Cart Inc.'s total liability under this Agreement shall not exceed the fees paid in the preceding three months. We are not liable for indirect, incidental, or consequential damages. 8. GOVERNING LAW This Agreement is governed by United States federal law and the laws of our state of incorporation.
