Terms of Service

Compound Cart Inc. — Platform Agreement

Effective date: April 18, 2026 · Last updated: April 18, 2026

1. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you ("Customer", "you") and Compound Cart Inc., a Delaware corporation ("PeptiCommerce", "we", "us", or "our"). By creating an account, accessing, or using the PeptiCommerce platform, websites, APIs, or any related software or services (collectively, the "Service"), you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.

If you do not agree to these Terms, do not use the Service.

2. The Service

PeptiCommerce provides a software-as-a-service (SaaS) platform that helps merchants operate ecommerce stores, including, without limitation: WooCommerce storefront provisioning and management, hosting orchestration, payment-method configuration, inventory and order management, marketing and analytics tooling, customer support tools, and related operational features. The specific features available to you depend on the subscription plan you select.

In addition to the SaaS features described above, PeptiCommerce facilitates product supply and order fulfillment for participating merchants by coordinating with one or more independent third-party suppliers (each, a "Supplier") that source, label, package, and ship products directly to your end-customers on your behalf (the "Supply & Fulfillment Services"). PeptiCommerce's role in the Supply & Fulfillment Services is limited to operating the software, routing orders, providing inventory visibility, and coordinating logistics between you and the Supplier. Each Supplier is an independent contractor, and not a partner, joint venturer, employee, or agent of PeptiCommerce. PeptiCommerce does not manufacture or test the products supplied by a Supplier and does not take title to them, except, where applicable, momentarily as a logistical pass-through for shipping coordination.

The merchant remains the seller of record to its end-customers. PeptiCommerce and the Supplier are not parties to the sale between you and your end-customer.

3. Eligibility

You must be at least 18 years of age and legally capable of entering into a binding contract to use the Service. The Service is intended for use by businesses and is not directed at consumers for personal use.

4. Accounts and Security

You must provide accurate and complete information when creating an account and keep that information current. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access or suspected security incident at [email protected].

5. Subscription, Fees, and Payment

Access to the Service requires a paid subscription. By selecting a plan you authorize PeptiCommerce (or its payment processor) to charge the applicable setup fees, recurring subscription fees, usage-based fees, and any add-on charges (collectively, "Fees") to your designated payment method. All Fees are stated in U.S. dollars and are non-refundable except as expressly stated in these Terms or required by law.

Subscriptions automatically renew at the end of each billing period at the then-current rate unless cancelled in your account settings before the renewal date. We may change Fees on at least thirty (30) days' notice; changes apply at the start of the next renewal term.

If a payment is not received when due, we may suspend or terminate the Service, charge interest on overdue amounts at the lesser of 1.5% per month or the maximum permitted by law, and recover reasonable collection costs.

6. Customer Data and Customer Content

"Customer Data" means data, content, files, product listings, customer information, marketing copy, images, and other materials you or your end-users submit, upload, or generate through the Service. As between the parties, you own all Customer Data. You grant PeptiCommerce a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, copy, display, and otherwise use Customer Data solely as necessary to provide, maintain, and improve the Service and to comply with law.

You represent and warrant that you have all rights necessary to grant the license above and that your Customer Data and your use of the Service do not infringe or violate the rights of any third party or any applicable law.

7. Acceptable Use

You agree that you will not, and will not permit any third party to:

  • Use the Service in violation of any applicable law, regulation, or third-party right, including, without limitation, the laws and regulations of the U.S. Food and Drug Administration ("FDA"), Federal Trade Commission ("FTC"), Drug Enforcement Administration ("DEA"), or any state or foreign regulatory authority;
  • Use the Service to sell, ship, or market any product that is not lawfully permitted to be sold or shipped to the recipient's jurisdiction;
  • Make any prohibited health, therapeutic, diagnostic, curative, or human-consumption claims about products labeled or sold "for research use only," or otherwise misrepresent the regulatory status of any product;
  • Use the Service to send unsolicited commercial communications in violation of the CAN-SPAM Act, TCPA, GDPR, CASL, or any similar law;
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its underlying infrastructure, or any other customer's data;
  • Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent that applicable law expressly prohibits this restriction;
  • Resell, sublicense, rent, lease, or otherwise commercially exploit the Service except as expressly permitted in these Terms;
  • Use the Service to transmit malware, conduct phishing, or harm any person or system; or
  • Use the Service in a manner that would expose PeptiCommerce, its payment processors, banking partners, hosting providers, or other vendors to material legal, reputational, or financial risk.

8. Research-Use-Only Products and Regulatory Compliance

The Service is commonly used by merchants who sell research chemicals, peptides, and similar products that are labeled "for research use only" and not for human or veterinary consumption. You acknowledge and agree that:

  • You are the seller of record and are solely responsible for the lawful sale, marketing, customer-facing labeling, advertising, and end-customer terms of every product offered through your storefront;
  • You are solely responsible for verifying that each customer is permitted to receive the product in their jurisdiction and is, where applicable, a qualified researcher or institution;
  • You will not make, and will not permit your storefront to display, any claim that any product is intended to diagnose, treat, cure, mitigate, or prevent any disease, or is otherwise intended for human or veterinary consumption;
  • You will at all times comply with all applicable laws and regulations, including, without limitation, those administered by the FDA, FTC, DEA, USPS, U.S. Customs and Border Protection, and the equivalent authorities in any jurisdiction in which you operate or to which you ship; and
  • PeptiCommerce provides software tools and supplier-coordination services only and does not, and cannot, provide legal, regulatory, medical, or scientific advice. Any compliance feature, template, certificate of analysis, or default configuration provided by or through the Service is offered as a convenience and is not a substitute for advice from qualified counsel or your own independent verification.

9. Supply & Fulfillment Services; Suppliers

If you elect to use the Supply & Fulfillment Services, the following additional terms apply:

  • Supplier as independent third party. Products supplied through the Service are sourced, manufactured, tested, labeled, packaged, and shipped by an independent third-party Supplier. PeptiCommerce does not manufacture or test the products and makes no representation or warranty about their composition, purity, potency, identity, sterility, stability, fitness for any purpose, or conformity with any certificate of analysis, datasheet, or specification provided by the Supplier.
  • Supplier documentation passed through. Certificates of analysis, batch records, datasheets, hazard sheets, and similar materials are produced by the Supplier and are passed through to you "as is." You are responsible for reviewing them, deciding whether they are sufficient for your business, and re-publishing them (or not) on your storefront under your own brand and at your own risk.
  • Order routing and ship-from. Orders placed on your storefront may be routed by the Service to a Supplier for fulfillment. The Supplier may ship directly to your end-customer, with your branding on the outer packaging where supported. Shipping times, carrier choice, customs handling, return processing, and similar logistics are subject to the Supplier's then-current operational capabilities.
  • Inventory and availability. Inventory levels reported in the Service are based on information provided by the Supplier and may change without notice. PeptiCommerce does not guarantee that any particular product will be in stock, will continue to be offered, will ship within a particular time, or will be available in any particular jurisdiction. Substitutions, backorders, partial shipments, and discontinuations may occur, and PeptiCommerce's sole responsibility in such cases is to use commercially reasonable efforts to notify you and, where appropriate, refund or credit the affected order.
  • Pricing, payment, and chargebacks. Wholesale prices for products fulfilled through the Service are quoted by the Supplier and may change on notice. You are responsible for setting your retail price to your end-customer and for any difference between the retail price and your wholesale cost. You remain financially responsible for chargebacks, refunds, fraud losses, customs seizures, and reshipment costs associated with orders on your storefront, even when those orders are fulfilled by a Supplier, except where the loss is caused solely by PeptiCommerce's gross negligence or willful misconduct.
  • Title and risk of loss. Title to and risk of loss in the products pass from the Supplier directly to your end-customer (or, where required by the Supplier's terms, to you and then immediately to your end-customer) at the point of carrier handoff. PeptiCommerce does not take title to the products as a reseller and is not the merchant of record on the underlying sale to your end-customer.
  • Restricted destinations and jurisdictions. PeptiCommerce and the Supplier may decline to fulfill orders to particular countries, states, or addresses, or for particular products, at any time and without notice, including where doing so would violate applicable law, the Supplier's policies, the carrier's policies, or the policies of a payment processor.
  • Quality issues and end-customer claims. If your end-customer raises a complaint about a product (including alleged contamination, mislabeling, short-shipping, breakage, or off-spec results), you must notify PeptiCommerce promptly. PeptiCommerce will use commercially reasonable efforts to coordinate with the Supplier on investigation, replacement, or refund, but the underlying liability for the product itself rests with the Supplier and (vis-à-vis the end-customer) with you as the seller of record.

10. Payment Processing and Third-Party Services

The Service integrates with third-party payment processors, hosting providers, marketing platforms, shipping carriers, and other vendors (collectively, "Third-Party Services"). Your use of any Third-Party Service is governed by that vendor's own terms and privacy policy. PeptiCommerce is not responsible for, and disclaims all liability arising from, any act or omission of any Third-Party Service.

You acknowledge that payment processors may suspend, freeze, hold reserves against, or terminate your processing relationship at their sole discretion, and that PeptiCommerce has no control over such decisions.

11. Intellectual Property

The Service, including all software, code, content, designs, logos, trademarks, trade names, and documentation provided by PeptiCommerce, is and remains the sole property of PeptiCommerce and its licensors. Subject to these Terms and your payment of all Fees, PeptiCommerce grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service during your subscription term solely for your internal business operations. No other rights are granted by implication, estoppel, or otherwise.

12. Feedback

If you provide PeptiCommerce with any suggestions, ideas, or other feedback regarding the Service ("Feedback"), you grant PeptiCommerce a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate the Feedback into the Service or any other product or service without any obligation to you.

13. Confidentiality

Each party may have access to information of the other that is marked confidential or that a reasonable person would understand to be confidential ("Confidential Information"). Each party will use the other's Confidential Information solely to perform under these Terms and will not disclose it to any third party except to its employees, contractors, and advisors who have a need to know and are bound by confidentiality obligations at least as protective as these Terms. Customer Data is your Confidential Information; the Service itself, including pricing and non-public features, is PeptiCommerce's Confidential Information.

14. Term, Suspension, and Termination

These Terms remain in effect for so long as you have an account or subscription with PeptiCommerce. You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the then-current billing period.

We may suspend or terminate the Service, or any part of it, at any time, with or without notice, if (a) you breach these Terms, (b) we reasonably believe your use of the Service exposes us, our vendors, or our other customers to legal, financial, or reputational risk, (c) required by law or by a payment processor, hosting provider, or other vendor, or (d) you fail to pay any Fees when due.

Upon termination, your right to access the Service ends. You may export your Customer Data for a period of thirty (30) days following termination, after which we may permanently delete it. Sections that by their nature should survive (including 5, 6, 7, 8, 9, 11, 13, 15, 16, 17, 18, and 19) will survive termination.

15. Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. COMPOUND CART DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA WILL BE ACCURATE OR PRESERVED.

16. Indemnification

You will defend, indemnify, and hold harmless PeptiCommerce, its parents, subsidiaries, and affiliates, and each of their respective officers, directors, employees, agents, contractors, licensors, insurers, payment processors, hosting providers, Suppliers, and any other third party with whom PeptiCommerce has a contractual or commercial relationship in connection with the Service (each, a "Covered Party"), from and against any and all third-party claims, demands, investigations, actions, damages, losses, liabilities, fines, penalties, settlements, costs, and expenses (including reasonable attorneys' fees and costs of investigation) arising out of or relating to: (a) your use of or inability to use the Service or the Supply & Fulfillment Services; (b) any product or service you offer, sell, market, ship, label, or describe through your storefront, including any claim of personal injury, illness, death, property damage, mislabeling, contamination, off-spec results, or regulatory non-compliance; (c) Customer Data or any content posted, published, displayed, or transmitted by you or your end-users; (d) your breach of these Terms or any representation, warranty, or covenant in these Terms; (e) your violation of any law, regulation, or order, including, without limitation, those administered by the FDA, FTC, DEA, USPS, U.S. Customs and Border Protection, or any state attorney general or foreign equivalent; (f) your violation or alleged violation of any third-party right, including any intellectual-property, privacy, publicity, or contract right; or (g) any chargeback, fraud loss, customs seizure, return, or reshipment cost associated with an order on your storefront.

The Covered Parties (including Suppliers and other third parties under contract with PeptiCommerce) are intended third-party beneficiaries of this Section 16 and may enforce it directly. PeptiCommerce will provide you with prompt written notice of any claim subject to this Section 16, and the relevant Covered Party will have the right, but not the obligation, to participate in the defense and settlement of any such claim with counsel of its own choosing at its own expense. You will not settle any claim that imposes any obligation, admission of liability, or restriction on any Covered Party without that Covered Party's prior written consent.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL COMPOUND CART BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID TO COMPOUND CART IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THE FOREGOING LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

18. Governing Law; Dispute Resolution; Class-Action Waiver

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved through good-faith informal negotiation within thirty (30) days will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be conducted in Wilmington, Delaware, in English, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

YOU AND COMPOUND CART AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. Notwithstanding the foregoing, either party may bring an individual claim in small-claims court, and either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.

19. General

Entire Agreement. These Terms, together with any order form, plan description, or written agreement signed by both parties, constitute the entire agreement between you and PeptiCommerce with respect to the Service and supersede all prior agreements, communications, and understandings.

Modifications. We may modify these Terms from time to time. We will post the updated Terms here and update the "Last updated" date. Material changes will take effect thirty (30) days after notice (by email or in-product notification). Your continued use of the Service after the effective date constitutes acceptance.

Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. PeptiCommerce may assign these Terms in connection with a merger, acquisition, financing, or sale of all or substantially all of its assets.

Notices. Notices to PeptiCommerce must be sent to [email protected]. Notices to you may be sent to the email address associated with your account or via in-product notification.

Force Majeure. Neither party will be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, government action, internet or utility outages, or third-party-vendor failures.

Severability; Waiver. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force. No failure to enforce any right is a waiver of that right.

Independent Contractors. The parties are independent contractors. No agency, partnership, joint venture, or employment relationship is created by these Terms.
